How can I find a buyer for my business?

Some owners have already been approached, others start their exit from scratch. We led the sale of a Building Products business owned by two shareholders. Starting with desktop research we got offers from the key acquirers in the sector and completed a deal at a strategic price well above our clients expectations.

Can you help me value my business for sale?

All potential vendors wish to know the value of their business. We give clients an estimate based on their performance of the business and current market expectations. Each transaction is bespoke to the individual circumstances of the company, the potential buyer population and what the client seeks from the sale.

Will my business' infrastructure affect its sale?

We have worked with a number of sellers, and buyers, to provide a fully independent assessment of a business’ infrastructure, including key areas such as security, GDPR compliance, and importantly where investment might be needed and over what time period.

Can you help with succession planning?

In family and owner-managed businesses there are frequent issues around succession. We have helped businesses across several sectors to deal with both finding the right resources to fill the voids left by retiring shareholders and engineer a deal structure that both realises value for the outgoing and incentivisation for the incoming.

Can you help me prepare my business for sale?

We are delighted to meet clients well before they wish to sell. In the case of one recent sale, we met the shareholders 15 years before their eventual exit, as they wanted to develop a plan and make the necessary preparations in terms of their involvement and recruitment of senior managers to ensure the business was capable of being acquired at any stage.

Can you help me to develop an exit strategy?

Some clients seek an immediate transaction, some plan for different futures. We designed an exit strategy for a firm of international consultants to deal with both approaches to trade and to private equity and, with the latter, how a subsequent transaction would work.

When is the right time to sell my business?

Ideally you sell your business when the business is growing and you don’t need to sell. We are well used to advising clients on timing, including advising them not to sell. Recently we helped the owners of a thriving healthcare business to sell to a larger competitor, in order to give the business the capital it needed to drive its growth. Our clients benefitted from a deal structure that gave them a significant share of the upside in value after the deal was done.

What is financial due diligence and why is it important?

A buyer will, quite rightly, want to lift the carpets before committing fully to making the acquisition. We are used to helping clients to manage the due diligence process, ensuring that it doesn’t disrupt the day-to-day running of the business. Issues do arise in due diligence and we are used to keeping a deal timetable on track and defending the price agreed.
